Responsibilities generally include assisting the General Counsel in managing HPFS's legal and corporate governance affairs in the Americas Geo, serving as a member of the Legal Leadership Team (LLT), serving as a senior business adviser to the Geo's Managing Director, and serving as a member of the Americas Leadership Team and Compensation and Investment Committees, and Colleague, Operational and Sales Excellence Teams. The Americas Chief Counsel also serves as a member of (i) the region's Leadership Team, which has collective responsibility for the overall management and strategic direction of the region, and (ii) the region's Investment Committee, which has collective responsibility for the region's credit and investment policies.

Specific responsibilities include (i) in consultation with the GC and AGCs, selecting, hiring and managing the Geo's legal personnel; (ii) in conjunction with the GC and AGCs, selecting, hiring and managing a network of outside counsel for the Geo; (iii) managing/doing the Geo's significant legal work (e.g., joint ventures, partnerships, mergers, acquisitions, major transactions, major litigation matters/bankruptcies, etc.); (iv) in conjunction with the applicable AGC, coordinate the review of all corporate/marketing communications within the Geo; (v) in conjunction with AGC - General Legal and AGC - Technology Finance, as applicable, managing the Geo's litigation, bankruptcies and workouts; (vi) developing (in conjunction with the LLT) and deploying legal policies and procedures for the Geo's business; (vii) in conjunction with the ACG - Corporate Governance/Compliance, coordinate all corporate governance and compliance matters within the Geo (e.g., governance matters, licensing, tax matters, accounting, banking and treasury support, SBC/SOA compliance matters, SEC and SOX compliance, privacy/data protection legal compliance, environmental compliance, import/export control law compliance and policies, collection/recovery policies, Anti-Money Laundering/USA Patriot Act, Dod-Frank legal compliance, usury law compliance and policies, trademark/patent matters, environmental health, safety and security/facilities and REWS support, document retention and other internal legal compliance related policies); (viii) in conjunction with the ACG - Technology Finance, coordinate all HP solutions matters within the Geo (e.g., maintenance and deployment of form legal agreements (i.e., standard forms and ancillary documents for leasing, loan and rental transactions), negotiation guides, templates/automated tools and attorney resources to support the Geo's various lines of business (e.g., Enterprise, SMB, Consumer, Public Sector, Global, Services-led and Third Party programs.); (ix) in conjunction with the ACG - Structured Finance, coordinate all structured finance matters within the Geo (e.g., syndications, structured finance purchases and structured finance originations); (x) in conjunction with the ACG - General Legal, coordinate all general legal matters within the Geo (e.g., TVS transactions and compliance, Diversified Asset Finance transactions and Third Party programs, litigation management, Human Resources matters, Insurance matters and IT/IP consulting contracts); (xi) in conjunction with the applicable AGC, working with HP Legal Department personnel on issues that affect the Geo; (xii) overseeing the Geo's legal work in supporting day-to-day transactions; (xiii) overseeing the development (in conjunction with the AGCs) and implementation of training on legal, compliance and documentation issues for the Geo's colleagues; (xiv) ensuring communication, coordination and collaboration between Geo attorneys and the AGCs on virtual team issues; and (xv) other special projects assigned by the General Counsel or Americas Managing Director from time to time.
Education and Experience Required
?Advanced university degree in law (e.g. JD or LLB); additional advanced degree relevant to the specialty preferred.
? Meets local legal license requirements.
? Typically 12 years commercial legal experience at a law firm or in-house.
? Extensive national and possibly international experience leading multiple, highly complex, strategic, specialty law projects, issues, and transactions.
?5-10 years equiment leasing and finance experience required.

Knowledge and Skills Required
?Recognized authority on practical and academic knowledge within a specific legal concentration, and broad internal recognition as a subject matter expert and thought leader in one or more sub-areas within the
specific legal concentration.
? Advanced mastery of how to operate successfully in the international legal environment for the specific legal concentration.
? Mastery in negotiating or advising the most senior representatives of external and internal organizations on highly complex, high impact legal matters in a specialty.
? Excellent presentation, facilitation, networking, and influence skills.
